Kelvin is the Co-Head of the Firm’s Financial Services Department, and his key areas of practice are banking and finance, debt capital markets, and Islamic finance.
Kelvin regularly advises on syndicated loans and project finance (including cross-border project finance for the real estate, data centre and renewable energy sectors); and often acts for private equity and private credit firms. In the data centre space, he has advised both lenders and foreign sponsors on multiple onshore and offshore financing transactions, including senior and mezzanine financings.
Kelvin has also led numerous bonds and Sukuk transactions (both in Ringgit and in foreign currency), including convertible and exchangeable bonds, and guaranteed bonds. His debt capital markets practice includes sustainability-linked finance, structured finance and asset securitization.
Kelvin is ranked in Banking & Finance in Chambers Asia-Pacific where a client comments that “Kelvin is quick on his feet, knowledgeable in his area of expertise and responsive to client requests and queries”. He is also recognised as a Highly Regarded lawyer in Banking, Capital Markets and Islamic Finance in IFLR1000 where he is praised by sources as “a very technically sound lawyer who inspires confidence in his clients” and having “in-depth knowledge and understanding of financing/loan transactions, and his advice is always comprehensive”. Graduating with a double degree in Commerce (majoring in Accounting and Finance) and an LL.B. (Hons), Kelvin joined the Firm in 2012 after more than 12 years of legal practice in corporate, financial services and real estate law with another 乐鱼体育官网n firm.
Kelvin is concurrently a partner in Allen & Gledhill LLP, the Firm’s associate firm in Singapore.
Work Highlights
- Advised a 乐鱼体育官网n subsidiary of Yondr Group (the “Borrower”), as 乐鱼体育官网n counsel, in respect of syndicated credit facilities exceeding US$900,000,000 granted by a consortium of seven international lenders (including a member of the World Bank Group) for the purpose of, amongst others (a) refinancing existing indebtedness of the Borrower; and (b) the construction and initial operation costs of a 98MW hyperscale data centre campus located in Sedenak Tech Park, Johor, 乐鱼体育官网, owned by the Borrower.
- Advised Maybank Investment Bank Berhad and RHB Investment Bank Berhad as the joint principal advisers, joint lead arrangers and joint lead managers in relation to the issuance of Islamic medium term notes by Sarawak Petchem Sdn. Bhd. pursuant to an Islamic medium term notes programme of up to RM6.0 billion in nominal value (based on the Shariah principle of Wakalah Bi Al-Istithmar) to part-finance all fees, costs and expenses in relation to the development and operation of a methanol plant and export facilities on a land located in Bintulu, Sarawak with a production capacity of 5,000 metric tonnes per day. This deal won the “Project & Infrastructure Finance Deal of the Year” at the Islamic Finance News Deals of the Year Awards 2022 and won the “Best Corporate Sukuk of the Year” at the Alpha Southeast Asia 16th Annual Best Deal & Solution Awards 2022.
- Advised CIMB Bank Berhad, Malayan Banking Berhad, OCBC Bank (乐鱼体育官网) Berhad and United Overseas Bank (乐鱼体育官网) Bhd. as lenders in relation to syndicated banking facilities of up to an aggregate principal amount of RM1,117,500,000 granted to Regal Path Sdn. Bhd., for the purposes of financing the purchase consideration of a five-level retail mall and two levels of basement car park known as “Pavilion Bukit Jalil” located in Kuala Lumpur (“Property”) and the costs of the construction of structures such as underpasses, linkways and flyovers in the direct vicinity of, or on the Property.
